1. PARTIES

This Distance Sales Agreement (“Agreement”) is entered into between the following parties:

The Buyer represents and warrants that the information provided to the Seller for communications, order processing, and delivery is accurate and complete. The Buyer is responsible for updating any changes to this information.

 


 

2. SUBJECT OF THE AGREEMENT

This Agreement governs the sale and delivery of digital products and services purchased by the Buyer from the Seller’s website, www.fbsoftwaresolutions.com. It sets forth the rights and obligations of both parties.

 


 

3. SERVICE/PRODUCT DETAILS

3.1.

  • Product/Service Name: WordPress Digital Product & Training Set

  • Delivery and Performance: The service/product will be provided electronically to the Buyer, who will have direct access via the account credentials created during registration.

  • Usage Terms: The Seller reserves the right to determine the usage start date and terms, as stated and visible at the time of purchase on the website.

  • Pricing: All prices listed on the website are in U.S. dollars and remain valid until updated. Limited-time promotional pricing remains valid only until the specified date.

3.2. Payment Method:

  • Payments may be made by credit card, debit card, or other electronic funds transfer methods as specified during checkout.

  • The payment terms and any applicable installment options will be displayed on the order summary page.

  • The Seller does not guarantee installment plans offered by financial institutions; the Buyer should consult their bank for installment terms and related fees.

  • The Seller reserves the right to cancel any order if payment is not received in full or if there is a security concern related to the payment.

4. RIGHT OF WITHDRAWAL

4.1. Under applicable U.S. law, digital products and services delivered electronically and immediately upon purchase are generally not eligible for a right of withdrawal (no cooling-off period applies). However, the Seller voluntarily grants the Buyer a right of withdrawal as described below.

4.2. The Buyer may withdraw from this Agreement within 14 calendar days from the date of purchase by notifying the Seller in writing.

4.3. The Buyer must send the withdrawal notice to the Seller’s business address or by email to info@fbsoftwaresolutions.com. Withdrawal notices must be received within the 14-day period.

4.4. Upon timely withdrawal, the Seller will refund the full purchase price to the Buyer within 14 days. Refund processing times depend on the Buyer’s financial institution.

 


 

5. GENERAL PROVISIONS

5.1. The Buyer acknowledges that they have reviewed and understood the product information, pricing, payment terms, and delivery details prior to purchasing.

5.2. Any relevant technical information, including compatibility requirements for digital content, is provided in the product description on the Seller’s website.

5.3. In the event that the Seller is unable to fulfill an order due to unforeseen circumstances, the Seller will promptly notify the Buyer and may offer a comparable product or service.

5.4. If the Buyer’s payment is not completed or is canceled by their financial institution, the Seller is under no obligation to deliver the purchased product or service.

5.5. The Seller is not responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, labor disputes, or disruptions in supplier services.

5.6. The Seller may, with the Buyer’s consent or notification, substitute a product or service of equal value and quality.

5.7. Any complaints must be submitted to the Seller’s address or via email, and the Seller will address them in a timely manner.

5.8. The Seller may request verification of the Buyer’s payment information if there is suspicion of fraud or misuse. Orders may be held until such verification is completed.

5.9. The Buyer agrees that all information provided during registration and checkout is accurate and assumes responsibility for any damages resulting from misrepresentation.

5.10. The Buyer agrees to use the services in compliance with all applicable U.S. and New Mexico laws, including not using the services for illegal or harmful activities.

5.11. The Buyer is responsible for any intellectual property infringements or privacy violations caused by their actions.

5.12. The Buyer may not use the Seller’s website or services for illegal activities, including posting or sharing content that violates laws or third-party rights.

5.13. The Buyer will be liable for any damages caused by violating the Agreement and will indemnify the Seller against all related claims.

 


 

6. DEFAULT AND LEGAL CONSEQUENCES

6.1. If the Buyer defaults on payment, they agree to pay any applicable late fees or interest as set by their financial institution.

6.2. Bank transfer payments must be completed within three (3) business days. Otherwise, the order will be considered canceled.

 


 

7. PROTECTION OF PERSONAL DATA

The Seller collects and processes the Buyer’s personal information in accordance with applicable U.S. federal and New Mexico state data privacy laws, and as outlined in the Seller’s Privacy Policy available at www.fbsoftwaresolutions.com.

 


 

8. GOVERNING LAW AND JURISDICTION

8.1. This Agreement is governed by the laws of the State of New Mexico, USA, without regard to its conflict of law principles.

8.2. Any legal action or proceeding arising under or relating to this Agreement shall be brought in the state or federal courts located in Bernalillo County, New Mexico, and the parties irrevocably consent to the jurisdiction of such courts.

 


 

9. ENTIRE AGREEMENT AND ACCEPTANCE

The Buyer agrees to the terms of this Agreement by completing the purchase on the Seller’s website. The Seller ensures that the Buyer has the opportunity to review and accept this Agreement before the order is finalized.
