PARTIES

This Membership Agreement (“Agreement”) is entered into by and between:
FB Software Solutions LLC (hereinafter referred to as “FB Software Solutions” or the “Company”), a limited liability company located at 1209 Mountain Road Pl NE Ste N, Albuquerque, NM 87110, USA, and the individual or entity that reads and accepts this Agreement (hereinafter referred to as the “Member” or “User”).

 

 

PURPOSE

FB Software Solutions LLC provides online membership services, including free and paid courses, downloadable digital content (such as videos and PDFs), website and software training resources, and opportunities to engage with other members for skill development and collaboration.

 

 

DEFINITIONS

  • Services: Free and paid courses, downloadable digital content (video, PDF, audio, image files), website and software training resources, and interactive features for developing digital skills and connecting with other members.

  • Website: www.fbsoftwaresolutions.com

  • Downloadable Digital Content: Paid digital resources not included in the standard membership, available for indefinite use by the purchaser.

  • Paid Workshops/Masterclasses: Fee-based training sessions available to all members and non-members, which may be purchased for unlimited personal use.

  • Member/Subscriber/User: Any individual or entity that registers on the website and uses the Services as set out in this Agreement.

 

 

APPLICATION OF THE AGREEMENT

  1. Members acknowledge and agree to comply with the terms of this Agreement. Non-acceptance of the terms prohibits access to the Services.

  2. This Agreement, along with any other applicable policies, supersedes any prior oral or written agreements or representations.

  3. The Company reserves the right to amend this Agreement at its discretion, with updated terms posted on the Website.

 

 

MEMBERSHIP TERMS

  1. FB Software Solutions offers free memberships and paid subscription memberships.

  2. Members must be at least eighteen (18) years of age and/or legally capable of entering into a binding contract.

  3. Free members may participate in free workshops; paid subscribers may access both free and paid workshops and other premium content.

  4. Membership and workshop availability is at the discretion of the Company, and membership slots may be limited.

  5. Paid subscribers have access to workshops posted prior to and during their subscription term.

  6. Once a subscription ends, access to subscriber-only content ceases.

  7. Paid workshops not included in standard memberships are available for purchase separately and grant indefinite personal use to the Buyer.

  8. The Company may change membership types or offerings at its discretion.

  9. Members may manage their account and access content using the login credentials they create at registration.

  10. Members are responsible for providing accurate information and valid payment details for paid content.

  11. Any changes to membership terms or subscription types will be posted on the Website.

  12. The Company may provide complimentary WordPress themes or plugins for Members to use on their own sites. The Company reserves the right to revoke or change these complimentary offerings at its discretion.

 

 

FEES AND PAYMENTS

  1. Free membership is provided at no charge. Paid workshops, downloadable digital content, and subscription memberships have associated fees.

  2. Payment must be made through the Website’s designated payment processor and is subject to the processor’s terms. The Company does not store users’ financial information.

  3. Subscription fees are billed monthly in advance, with automatic renewal unless canceled by the Member before the next billing cycle.

  4. The Company may offer promotional discount codes at its discretion.

  5. Late payments may result in suspension of access and may incur reasonable interest or collection costs.

  6. In the event of an overcharge or billing error, refunds will be issued within fourteen (14) days of notification by the Member.

 

 

COMPANY RIGHTS AND OBLIGATIONS

  1. The Company represents that it has the legal right to provide the Services.

  2. All content on the Website is the intellectual property of the Company and may not be reproduced or redistributed without permission.

  3. The Company is not responsible for the accuracy or legality of content shared by Members.

  4. The Company reserves the right to modify or discontinue any part of the Services.

  5. The Company is not responsible for interactions between Members.

  6. The Company may contact Members via phone, email, SMS, WhatsApp, or similar digital means.

  7. The Company is not responsible for technical disruptions beyond its control, including internet outages or force majeure events.

  8. The Company may assign or transfer its rights and obligations under this Agreement.

 

 

MEMBER RIGHTS AND OBLIGATIONS

  1. Members agree to comply with all terms, policies, and applicable U.S. federal and New Mexico state laws.

  2. Members are responsible for ensuring their shared content does not infringe third-party rights.

  3. Members must maintain the confidentiality of their account information and are responsible for any misuse.

  4. Members must manage subscription cancellations in advance of billing to avoid renewal charges.

  5. Members must store their own data; the Company is not responsible for data backup or restoration.

  6. Members may not assign their rights under this Agreement without the Company’s written consent.

  7. Members may not engage in illegal, harmful, or infringing activities using the Website or Services.

  8. Members will be held liable for any damage caused to third parties or the Company as a result of misconduct or violation of this Agreement.

 

 

CANCELLATION AND TERMINATION

  1. This Agreement remains in effect until canceled by either party.

  2. Members may cancel their account through the “Delete Account” option on the Website. This permanently deletes all account data.

  3. Subscription members may cancel their subscription through the “Cancel Subscription” option; canceled subscriptions retain access until the end of the billing cycle.

  4. The Company reserves the right to suspend or terminate accounts for violations of this Agreement or community standards.

  5. No refunds will be issued for terminated accounts due to misconduct.

  6. Upon termination, all rights granted to the Member under this Agreement will cease.

 

 

WITHDRAWAL POLICY

Digital services and products delivered immediately upon purchase are typically not eligible for withdrawal or cancellation under U.S. law. However, the Company grants Members a 14-day voluntary withdrawal right.

PRIVACY AND DATA PROTECTION

The Company collects and processes personal data in accordance with applicable U.S. and New Mexico data privacy laws and the FB Software Solutions LLC Privacy Policy available on www.fbsoftwaresolutions.com.

 

 

GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement is governed by the laws of the State of New Mexico, USA, and any disputes shall be resolved by the courts located in Bernalillo County, New Mexico.
